Release Agreement

By clicking on the "I AGREE" button, you will become a party to, and will be bound by this Agreement. If you do not agree with all of the terms and conditions of this Agreement, click on the "NO THANKS" button. Please note that we may modify this Agreement from time to time as further described below. The term of this Agreement ("Term") shall commence on the date on which you click the "I AGREE" button and shall continue until the date ten (7) days after either party receives notice from the other, of their election to terminate the Term.

PLEASE READ THIS AGREEMENT CAREFULLY & IN ITS ENTIRETY.

This Agreement describes the legal contract agreement between you (an individual, representing yourself, or if necessary, a legal representative for a minor, band, group, or company) and ReleaseMySingle, the owner and operator of the web pages at "www.ReleaseMySingle.com". ReleaseMySingle is a North Carolina Business with offices in Knightdale and Greensboro, North Carolina. This Agreement supersedes all previous agreements or arrangements between the parties relating to the subject matter hereof.

Through the ReleaseMySingle Site, we offer you an opportunity to promote your song by entering it into one of the specific genres. From there, fans will vote and select the song that they feel is the best in each specific genre. Winners will receive prizes, which include such things as cash, industry contacts and studio help and assistance. In order to promote your music effectively, we ask you to grant us certain non-exclusive rights to use your music and any other content you submit to us. Please carefully read this Agreement and contact us at support@ReleaseMySingle.com if you have any questions.

1. Definitions.

All master recordings that are submitted by you are referred to as "Masters" or "Singles"; any and all musical compositions that are embodied in the Masters/Singles are referred to as "Compositions". Photographs, artwork, biographical information , logos, titles of tracks, credits and any other materials submitted by you are referred to as "Related Materials" Collectively, all Masters, Compositions, and Related Materials will be referred to as "Submitted Material".

2. Authorization.
- During the Term you hereby grant to us the worldwide right to:

- Reproduce, distribute, perform, and/or display the Masters, in whole or in part as on-demand digital audio streams. Reproduce, distribute and/or display the Related Materials in connection with uses of the Masters as provided for herein.
- Edit, reproduce and/or perform up to 1 minute samples of each Master and make such samples available by streaming audio for promotional purposes.

- Perform or display Submitted Material on the ReleaseMySingle Site.

- We shall have no obligation to make any payment of any kind to you or any other person, firm or corporation whether or not we and/or our licensees shall receive any monies or other consideration in connection with such uses, provided that in the event we shall desire to sell any Master or digital download sale we shall do so after you and we have come to a mutual agreement on your royalty participation with respect to such sales.

- We shall have the right to enter the Submitted Material on your behalf for inclusion in and otherwise in connection with any contests, sweepstakes or promotions that may be offered from time to time on ReleaseMySingle.com site.

- We have the right to review, edit, alter, decline to post or remove any Submitted Material from ReleaseMySingle.com at our discretion, provided that we will notify you of any alterations to the Submitted Content.

- You acknowledge that we receive large amounts of Submitted Material and some of these material may be similar in likeness to Materials you submit. You agree that ReleaseMySingle.com is not liable for any likeness of this Material.
- It is your sole responsibility to obtain and pay for any licenses or necessary clearances for your Submitted Material to be a part of the ReleaseMySingle.com site. If these licenses or clearances are not obtained and legal action is taken as a result, you accept full responsibility.

- If for some reason, you believe that you are no longer allowed to have your Submitted Material on the ReleaseMySingle.com website, please notify us in writing of this and we will remove the Submitted material from the site in a timely manner. However, this does not constitute a refund on your behalf, nor does it release you from the obligations contained within this agreement.

- We will not return copies of any Submitted Material you provide and you release us from any and all liability for loss or damage to any Submitted Material you send to us.

- By agreeing to this contract you acknowledge that you have obtained all the necessary rights, licenses and permissions from all third parties such as, publishers, producers, and/or authors, as may be necessary to authorize the use of each Composition. (This site is for your original compositions only.)

- To promote, market and advertise the site, we have the right to use the Submitted Material and name or likeness of users of the site.

- ReleaseMySingle has the right to market and promote Submitted Material as we determine in our sole discretion, which includes marketing our website at ReleaseMySingle.com.

ReleaseMySingle.com will have certain non-exclusive rights to use your music, but you will still own it. This agreement is non-exclusive, so you are not prevented from getting signed by a management firm, record label, publisher, production company, or any other contractual agreement that may further your career. If you decide you no longer want to be affiliated with ReleaseMySingle.com, you can terminate this agreement at any time.

Either party shall have the legal right to terminate the terms of this agreement by providing written notice to the other. This agreement can be modified at our discretion. If you ever have any problems with this contract, please contact us at support@releasemysingle.com. We will attempt to remove Submitted Content from site if written termination is provided. Our goal is to have Submitted Content removed from the site within (10) business days, however there is no guarantee of this time frame with the amount of Submitted Material and information Submitted on a daily basis.

5. Ownership

All rights & title of Submitted Material shall remain your property.

6. Additional Representations and Warranties.

- You represent and warrant that you have reached the age of majority within your said jurisdiction and that you are able to enter into this agreement. If you are under the age of 18, you agree to have an adult consent to your submission and information on this site. You must have full authority to act on behalf of any and all owners of any right, title and/or interest in and to any of the Submitted Material. You represent that you have obtained all consents and licenses from Third Parties who have a part of your Submitted Material. That being said, you represent that you own the rights to any Submitted Material or you have obtained the permission of any Third Party as to not infringe on the rights of any party involved in the composition of the Submitted Material.

- You represent and warrant that the Submitted Material does not and will not violate any law or rights of any third party or be defamatory, pornographic, or obscene, or cause harm to our internal network or server(which includes being free of viruses or anything else that can cause such harm)

- You agree and acknowledge that the relationship between you and ReleaseMySingle is that of an independent contractor. Nothing in this Agreement shall not be deemed to create a partnership or joint venture.

- This Agreement contains the entire understanding of the parties. A waiver by either party of any term or condition of this Agreement will be understood as a waiver of such term or condition for the future.

- This Agreement shall be binding on the executors, and successors of the parties.

- Any notice, approval, request, authorization, direction or other communication given to us under this Agreement shall be in writing and shall be deemed to have been delivered and given for all purposes on the delivery date if sent by electronic mail to support@releasemysingle.com or by regular mail.
